Terms of Service

Welcome to 1T2C. These Terms of Service (“Terms”) govern your access to and use of the products, services, software, platforms, and websites provided by 1T2C (“we,” “our,” “us”). By engaging with our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not use our services.

1. Services Provided

1T2C offers marketing, automation, artificial intelligence solutions, consulting, and related digital services. Specific deliverables, features, and usage rights are defined in each client’s service agreement, proposal, or subscription plan.

We may update or improve our services periodically. Such updates may include new features, enhanced functionality, or security improvements.

2. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information necessary for us to deliver services.

  • Ensure that all content you provide (logos, images, text, data, customer information) complies with applicable laws and does not infringe on third-party rights.

  • Maintain responsibility for the business decisions and outcomes resulting from use of our tools and services.

3. Platform Access & Use

  • Account Access: Clients may be given access to accounts, dashboards, or AI agents. You are responsible for safeguarding your credentials.

  • Acceptable Use: You agree not to misuse our services, including engaging in illegal activity, spamming, data scraping, reverse engineering, or attempting unauthorized access.

  • Third-Party Tools: Some features may integrate with third-party platforms (e.g., Stripe, Google, Meta). Their terms also apply.

4. Payments & Fees

  • Fees, billing cycles, and terms are outlined in your service agreement or subscription plan.

  • All fees are non-refundable unless otherwise stated.

  • Transaction fees (e.g., Stripe processing) may apply and will be disclosed transparently.

  • Late or failed payments may result in suspension or termination of services.

5. Intellectual Property

  • Client Content: You retain ownership of your intellectual property and grant us a limited license to use it for the purpose of delivering agreed services.

  • 1T2C IP: All platforms, AI agents (e.g., AuriVoice, AuriChat, AuriAscend), methodologies, code, and materials remain the exclusive property of 1T2C. Clients receive a non-exclusive, non-transferable license for their internal business use during the term of service.

6. Confidentiality & Data Privacy

  • Both parties agree to protect all confidential information, including client data, strategies, and customer details.

  • 1T2C will never sell or share client data with unauthorized third parties.

  • Data handling and security are guided by our [Privacy Policy].

7. Service Availability & Limitations

  • We strive for high availability but do not guarantee uninterrupted service.

  • Certain services rely on third-party providers outside our control. We are not liable for outages, downtime, or limitations of those providers.

  • Services may evolve, and features may be added, modified, or discontinued with reasonable notice.

8. Limitation of Liability

To the fullest extent permitted by law:

  • 1T2C is not liable for indirect, incidental, or consequential damages, including lost profits, data, or business opportunities.

  • Our aggregate liability is limited to the total fees paid by the Client in the three (3) months prior to the event giving rise to the claim.

9. Term & Termination

  • These Terms remain in effect while you use our services.

  • Either party may terminate services in accordance with the service agreement.

  • Upon termination, your right to use our services ends immediately, and any outstanding obligations (including fees) remain due.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of laws principles. Any disputes shall be resolved in the courts located in Ontario.

11. Changes to Terms

We may update these Terms from time to time. Updated versions will be posted on our website, and continued use of our services constitutes acceptance of the revised Terms.
